1. Agreement and who provides the service
These Terms & Conditions (“Terms”) govern your use of finbeesconsulting.com and services supplied under the name Finbees Consulting (“Finbees”, “we”, “us” or “our”), with its principal contact address at 48/4, Netaji Bypass Road, Dharmapuri, Tamil Nadu 636701, India.
By using the website, accepting a quote, making payment, supplying documents or asking us to begin work, you agree to these Terms. If you are acting for an organisation, you confirm that you can bind it. If you do not agree, do not instruct us or use the service.
2. Eligibility and authority
You must be at least 18 and legally capable of entering a contract. You must have authority to provide all instructions, documents and personal information relating to the business and any director, partner, employee, customer or other person. We may request identity, authority, conflict or eligibility checks before beginning or continuing work.
3. Website information and engagement scope
Website content is general information, not a complete opinion about your facts. A service engagement begins only when we accept the work through a written quote, proposal, invoice, engagement message or other clear confirmation.
The written service confirmation defines the scope, deliverables, assumptions, fees and indicative timeline. If documents conflict, the service-specific written confirmation prevails for that service, followed by these Terms and then general website content. Additional work requires a revised scope or fee.
4. Nature of our services
We support registrations, tax and compliance filings, accounting, business documentation, technology and related operational work. Depending on the service, work may be delivered by our team or coordinated with appropriately qualified independent professionals. We remain responsible for managing the agreed service, but an identified professional may also owe duties under their governing law or professional rules.
Unless expressly included in writing, our work is not an audit, assurance, litigation representation, legal opinion, investment advice or certification of information supplied by you. We do not independently verify every fact or document unless verification is part of the agreed scope.
5. No guaranteed outcome
We use reasonable skill and care, but cannot guarantee an approval, registration, refund, tax position, licence, tender, funding result, search ranking or response time controlled by a government authority, bank, marketplace, search engine or other third party. Published completion times are estimates based on ordinary cases and begin only after we receive complete, usable information and required payment.
6. Your responsibilities
You agree to:
- provide accurate, complete, current and lawfully obtained information and documents;
- disclose relevant notices, disputes, deadlines, prior applications and unusual facts;
- review drafts, calculations and forms carefully and approve or correct them on time;
- respond promptly and pay taxes, statutory charges, penalties and third-party fees when due;
- protect passwords and OTPs, preserve original records and maintain independent copies; and
- use the service lawfully and obtain every consent or authorisation required from other persons.
You remain responsible for the commercial decisions you make and the legal and tax obligations of your business, except to the extent we expressly accept responsibility for a defined filing or task.
7. Instructions and communications
We may rely on instructions and approvals sent from the phone number, WhatsApp account or email address you provide, or from a person you identify as authorised. Tell us immediately if an authorised contact changes, an account is compromised or an instruction is wrong. We may record written confirmations of important verbal instructions.
8. Fees, tax and government charges
The current written quote or invoice controls the professional fee for your service. Unless expressly stated “all-inclusive”, prices exclude GST, government fees, stamp duty, penalties, travel and third-party charges. Estimates based on incomplete facts may change if the scope, eligibility, document quality, authority requirements or law changes.
We may require full or partial advance payment and complete documents before starting. Overdue amounts may result in paused work. You are responsible for consequences caused by a pause arising from non-payment or missing information.
9. Cancellation and refunds
Cancellation and refund eligibility depend on work performed and irreversible costs:
- government charges, payment-gateway costs and third-party fees are non-refundable after they are paid or committed;
- once research, consultation, drafting, document review, portal work or filing begins, the professional fee is earned in proportion to the work performed and any refund may be reduced accordingly;
- if we cannot perform the agreed service for a reason within our control before substantial work begins, we will refund the unused professional fee;
- authority rejection or delay, client ineligibility, inaccurate or late information, non-response, or a change of mind after work starts does not itself create a right to a full refund; and
- a service-specific written refund promise and any mandatory right under applicable consumer law will prevail.
Send a refund request with the invoice number and reason to our contact email. Approved refunds are returned through an available payment method within a reasonable processing period.
10. Deadlines and delays
Tell us every known deadline before engagement. We accept responsibility for a deadline only when the relevant filing and cut-off are confirmed in writing and you provide complete documents, approvals and payment with sufficient lead time. We may decline urgent or last-minute work. We are not responsible for delay caused by you, a portal outage, authority action, bank, courier, force-majeure event or another circumstance outside our reasonable control.
11. Government portals and third parties
Services may depend on government websites, software, payment providers, banks, couriers and specialist professionals. Their availability, decision and terms are outside our control. A link, introduction or coordination does not make us responsible for an independent third party’s separate service, although we remain responsible for care in selecting and instructing a subcontractor used to perform our agreed scope.
12. Privacy and confidentiality
Our Privacy Policy explains how personal information is handled. We will use reasonable care to keep client information confidential and disclose it only as required to perform the service, to professional advisers and providers under appropriate obligations, with authorisation, or where required by law. Confidentiality does not cover information already public through no breach by us or independently and lawfully received.
13. Intellectual property
The website design, original text, brand assets, templates, systems and tools are owned by or licensed to Finbees. We grant you a limited, revocable right to view the website and use client-specific deliverables for their intended internal or filing purpose after payment. You may not scrape, reproduce, resell, misrepresent or commercially exploit our website, templates or systems without written permission. Your data, documents and rights in official filings remain yours; government forms and third-party materials remain subject to their own rights.
14. Acceptable use
You must not use our website or services to commit fraud, evade tax, conceal beneficial ownership, infringe rights, transmit malware, probe security, overload systems, submit fabricated documents or impersonate another person. We may refuse instructions that are unlawful, misleading, abusive, professionally improper or create an unmanaged conflict of interest.
15. Disclaimers
We provide the website on an “as available” basis and use reasonable efforts to keep its information useful and current. Laws, portal procedures, fees and deadlines change, and general pages may not reflect a recent change immediately. Verify material decisions against current official guidance or obtain advice for your particular circumstances. We do not promise that the website will always be uninterrupted, secure or error-free.
16. Limitation of liability
To the maximum extent permitted by law, Finbees will not be liable for indirect, incidental or consequential loss, loss of profit, revenue, opportunity, goodwill or data arising from the website or a service. Our aggregate liability for a claim connected with a paid service will not exceed the professional fees actually paid to us for the specific service giving rise to that claim.
These limits do not apply to fraud, wilful misconduct, gross negligence, breach of a duty that cannot lawfully be limited, or a remedy that mandatory consumer law preserves. You must take reasonable steps to reduce avoidable loss and notify us promptly of an error so that we have a fair opportunity to correct it.
17. Indemnity
To the extent permitted by law, you will indemnify Finbees against third-party claims, penalties and reasonable costs caused by your materially false, unlawful or unauthorised documents or instructions; your infringement of another person’s rights; or your material breach of these Terms. This does not cover loss caused by our own negligence, breach or misconduct.
18. Suspension and termination
Either party may end an ongoing engagement by written notice, subject to the service confirmation. We may suspend or terminate immediately for non-payment, persistent non-response, abuse, conflict, security risk, suspected illegality or professional restrictions. On termination, you must pay for work completed and irreversible costs; we will return or make available client documents where reasonably practicable, subject to law and any lawful right to retain records.
19. General terms
Events outside reasonable control
Neither party is liable for failure caused by events beyond reasonable control, including natural disaster, widespread network or portal failure, strike, government action or civil emergency. The affected party should notify the other and resume performance when reasonably possible.
Changes
We may update website terms prospectively by posting a revised date. Material changes to an active paid engagement will not retrospectively reduce agreed rights without notice and any consent required by law.
Severability, waiver and assignment
If part of these Terms is unenforceable, the remaining terms continue. A delay in enforcing a right is not a waiver. You may not transfer an engagement without our written consent; we may transfer it as part of a genuine business reorganisation while preserving your rights.
Entire agreement
These Terms and the applicable written service confirmation form the agreement for the service and replace earlier general discussions about the same subject, without excluding liability for fraud or misrepresentation that cannot lawfully be excluded.
20. Governing law, complaints and contact
Indian law governs these Terms. Subject to any mandatory consumer forum or other non-waivable jurisdiction, courts at Dharmapuri, Tamil Nadu will have jurisdiction. Before starting formal proceedings, please send a written complaint with the service, invoice and requested resolution. We will try to resolve it in good faith; this does not prevent either party from seeking urgent relief or using a statutory remedy.
